Equipment Rental Contract Overview


Explains the contractual agreement between the Client and the Photographer/Owner.

THIS AGREEMENT is made between the Client (“Referred to as Client”) and Dwan Miller (“Referred to as Dwan Miller Photography, LLC”).


OVERVIEW. Dwan Miller Photography's Studio is the Owner's personal studio that he rents out to other creative photographers or videographers for their photoshoots/video sessions. This studio has a client lounge, small kids play area, the photography studio space and access to a bathroom. This space is not handicap accessible.


CONTRACT DETAILS. This agreement constitutes a request for photography equipment rental services, including but not limited too; rented camera, lenses, camera batteries, lighting strobes, modifiers, stands and etc as agreed to by both the Owner and Client. 


TERMS OF AGREEMENT. The parties do herein bind themselves to the terms of this Agreement in regard to all equipment rented by Client from Dwan Miller Photography, LLC from the start/end dates of this Agreement until terminated, modified or replaced.


RENTED EQUIPMENT. The rented equipment listed below displays the description, serial number, manufacture’s price and price per item.

LENGTH OF RENTAL SERVICE. The length of service/rental will adhered too as stated below by the Owner and Client prior to equipment being rented. If equipment is not returned by the below specified end date/time, there will be $50 late fee applied to Client. 


PRICE OF EQUIPMENT. Unless otherwise agreed to in writing by an authorized agent of Dwan Miller Photography, LLC, the rented equipment total price listed above in this contract is in effect at the time Client receives and sign for the rental equipment.


DEPOSIT. A nonrefundable deposit of $75 is required by the Client to reserve the rental date/time. The deposit amount can be paid by Cash, Check, CashApp, PayPal, Venmo, Zelle, ApplePay or the Client can request Dwan Miller Photography, LLC issue an invoice. The nonrefundable deposit cost will be subtracted from the final payment due. If the deposit isn’t paid within 48hrs of requested appointment, your request may be declined/canceled. I will follow up with you 24-48hrs prior to your appointment for confirmation. PAYMENT. The Client is responsible to pay the final payment in full to Dwan Miller Photography, LLC prior to equipment being rented or signed out.


MAINTENANCE OF EQUIPMENT. The Client agrees to keep and maintain all of the rental equipment in good condition and assumes full responsibility for all the equipment and supplies until the rented items are returned. The Client agrees not to remove, cover, alter or deface any tags, serial numbers or nameplates on the equipment. The Client is not allowed to repair, fix or service the rental equipment without the permission of the Owner. All maintenance, repairs and service of the rental equipment is the responsibility of the Dwan Miller Photography, LLC. 


INITIAL INSPECTION OF EQUIPMENT. The Client acknowledges that they have examined and tested the equipment and that all equipment is in good working order and condition. In the event equipment has a deficiency, the Client is aware that failure to notify Dwan Miller Photography, LLC of any defects or problems within 24 hours of the rental receipt shall be conclusively deemed as acknowledgment that all equipment has passed Client’s approval and is in good working order. 


LOST, STOLEN OR DAMAGED EQUIPMENT. In the event of any loss, stolen or damage to the rented equipment, the Client agrees to pay the rental rate during the period of time Dwan Miller Photography, LLC is deprived of the equipment and until such time as it is repaired and/or replaced. The Client agrees that the value of the rented equipment, in the event of damage, stolen and/or loss requiring replacement rather than repair of rental equipment is the replacement value as determined by the manufacturer’s list price at the time of said loss.


EQUIPMENT INSURANCE. The Client is not obligated to establish equipment insurance prior to the rental of equipment; however, the Client is responsible for any damage, stolen or lost of all rented equipment. Dwan Miller Photography, LLC will maintain business insurance on all rented equipment for the entire length of rental services. 


EXCLUSIVE POSSESSION/NON-ASSIGNABILITY OF LEASE. The Client shall not sublease or loan the equipment or assign this Agreement to any other persons, firms or corporation and said equipment shall at all times remain under the immediate, exclusive control and direction of the Client. 


INSPECTION/RETURNED OF EQUIPMENT. Acceptance by Dwan Miller Photography, LLC Inc. of the return of rented equipment does not waive any claims that the company may have against the Client for patent, latent or hidden damage to the equipment. Dwan Miller Photography, LLC is responsible to conduct a visual and post-return inspection of all equipment prior to the Client relinquishing the responsibility of all rented equipment. Client agrees that Dwan Miller Photography has 72hrs after the return of all equipment to identify any undiscovered damages or deficiencies of rented equipment that couldn’t be determine upon the return of equipment.


INDEMNIFICATION AND HOLD HARMLESS. The Client agrees to assume full responsibility and liability for the safekeeping and return of all rented equipment accepted by Client as shall be set forth in this contract. Client agrees to indemnify and hold harmless Dwan Miller Photography, LLC and any other persons to which Dwan Miller Photography, LLC itself may be responsible to indemnify and hold harmless, from any and all liability, claims, damages, costs and expenses arising from Client’s use, misuse and/or possession of the rented equipment.


MISCELLANEOUS PROVISION FOR LIENS, CHARGES, ETC. The Client specifically acknowledges Dwan Miller Photography, LLC Inc.’s ownership of the equipment and agrees to keep the equipment free of all liens and encumbrances. The Client agrees that he shall be liable for all taxes, transportation charges, duties, broker fees and any and all other costs imposed upon the equipment.


GOVERNING LAW. This Agreement and all the rights and liabilities of the parties hereto shall be governed by and construed in accordance with the laws of the State of Kansas.


ENTIRE AGREEMENT. This Agreement sets forth the entire understanding and agreement between the parties hereto with respect to the subject matter hereof, and cancels and supersedes any prior oral or written agreement between the parties with respect to the subject matter. No alterations, additions, amendments or modifications to this Agreement shall be binding unless made in writing and executed by an authorized agent of Dwan Miller Photography, LLC.


EXCLUSION OF WARRANTIES. Client herein acknowledges that all equipment to be rented from Dwan Miller Photography, LLC will be as a result of Client's sole section, discretion and opinion as to equipment which it requires. All equipment is accepted by client "As Is". No warranties or representations are made by Dwan Miller Photography, LLC of any type of nature whatsoever, expressed or implied, regarding the performance of camera, services, supplies, film or other equipment rented. Dwan Miller Photography, LLC herein expressly excludes any and all warranties, guarantees, expressed or implied, statutory, by operation of law, or otherwise, including any implied warrantees of merchantability or fitness for a particular purpose. In no event, under no circumstances, shall Dwan Miller Photography, LLC be responsible or liable to the client or anyone else for any damages, including lost profits, lost savings or other direct or indirect incidental or consequential damages arising out of the use or inability to use any equipment rented or the alleged breach of any agreement described herein, even in the event that Dwan Miller Photography, LLC or Dwan Miller Photography, LLC's Agents have been advised of the possibility of such damages.
